Terms of Use

1. Acceptance of Terms

These Terms of Use (the "Terms") constitute a legally binding agreement between you ("you," "User") and Propwash Reservations, LLC, doing business as LogRaven ("LogRaven," "Company," "we," "us," or "our"), governing your access to and use of the LogRaven website, applications, reports, application programming interfaces, and related services (collectively, the "Services"). By creating an account, purchasing any product, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the Services.

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into these Terms. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity, and "you" refers to such entity.

2. Description of Services

LogRaven provides tools to digitize, organize, and analyze aircraft maintenance logbooks and related records; to present aircraft registry information derived from the United States Federal Aviation Administration ("FAA"); to permit authorized maintenance providers to submit service entries; and to generate scored aircraft records reports ("Reports") for sale to prospective buyers and other users.

LogRaven may modify, suspend, or discontinue any portion of the Services at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuance.

3. No Airworthiness Determination; Informational Purposes Only

THE SERVICES AND ALL REPORTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. LOGRAVEN IS NOT AN FAA-CERTIFICATED REPAIR STATION, INSPECTOR, OR APPRAISER, AND NOTHING IN THE SERVICES CONSTITUTES A DETERMINATION OF AIRWORTHINESS, CONFORMITY, REGULATORY COMPLIANCE, VALUE, OR CONDITION OF ANY AIRCRAFT.

Reports and extracted entries are generated in part through automated and artificial-intelligence-assisted processing of documents supplied by third parties and may contain errors, omissions, or misreadings, including of handwritten entries. Records scores and grades reflect only the completeness and consistency of available documentation under LogRaven's then-current scoring methodology and are not a statement regarding the physical state of any aircraft. You are solely responsible for independently verifying all information against original logbooks and official FAA records, and for obtaining a pre-purchase inspection by an appropriately certificated mechanic (A&P/IA) and any legal, title, or escrow services you deem necessary before relying on any information for any purpose.

4. Accounts and Security

You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. LogRaven is not liable for any loss arising from unauthorized use of your account.

5. Aircraft Claims and Authority

By claiming an aircraft or uploading records, you represent and warrant that you are the registered owner of the aircraft or are duly authorized by the registered owner to act on its behalf, and that all ownership documentation you submit is genuine and unaltered. Submission of false, forged, or misappropriated documents is a material breach of these Terms and may be reported to appropriate authorities. LogRaven may, in its sole discretion, approve, deny, suspend, or revoke any claim, and may transfer aircraft access upon a verified change of ownership. Upon such transfer, the prior holder's access and subscription shall terminate, while previously published Reports may remain available.

6. User Content and License

You retain ownership of documents, images, and data you upload ("User Content"). You hereby grant LogRaven a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to host, store, reproduce, process, analyze, extract data from, create derivative works from, and display User Content, and data derived therefrom, as necessary to provide, improve, and commercialize the Services, including the preparation and sale of Reports concerning the applicable aircraft. Original raw scans are not disclosed to Report purchasers or maintenance providers except as described in the Privacy Policy.

You represent and warrant that you have all rights necessary to grant the foregoing license and that User Content does not infringe or violate the rights of any third party or any applicable law.

7. Fees, Billing, and Automatic Renewal

Prices for setup fees, per-page overages, monthly subscriptions, individual Reports, and Report credit packs are displayed at the point of purchase and may be changed by LogRaven at any time. Price changes apply only to purchases made after the change; the price accepted at the time of purchase governs that purchase. All amounts are stated in U.S. dollars and are exclusive of applicable taxes, which you are responsible for paying. Payments are processed by Square, Inc., our third-party payment processor, subject to its terms.

MONTHLY SUBSCRIPTIONS RENEW AUTOMATICALLY. BY STARTING A SUBSCRIPTION, YOU AUTHORIZE LOGRAVEN AND ITS PAYMENT PROCESSOR TO CHARGE THE PAYMENT METHOD ON FILE THE THEN-APPLICABLE MONTHLY FEE ON A RECURRING BASIS, WITHOUT FURTHER AUTHORIZATION OR INVOICE, UNTIL YOU CANCEL. A receipt will be sent to the email address associated with your payment for each successful charge. If a charge fails, LogRaven may retry the charge and may suspend uploads and related services until payment is received.

Report credits expire as stated at the time of purchase. Each credit entitles you to access the full Report for one aircraft for the access period stated at purchase.

8. Cancellation

You may cancel a subscription at any time from your account page. Cancellation takes effect at the end of the then-current paid billing period. You will not be charged for any subsequent billing period, and the Services associated with the subscription will remain available through the last day of the paid period, after which uploads, document processing, and maintenance tracking for the applicable aircraft will cease. Previously published Reports may remain available on the Services.

9. NO REFUNDS

ALL FEES AND PURCHASES ARE FINAL AND NON-REFUNDABLE, INCLUDING WITHOUT LIMITATION SETUP FEES, PER-PAGE OVERAGE FEES, MONTHLY SUBSCRIPTION FEES, INDIVIDUAL REPORT PURCHASES, AND REPORT CREDIT PACKS, WHETHER OR NOT USED. NO REFUNDS, CREDITS, OR PRORATED AMOUNTS WILL BE PROVIDED FOR PARTIAL BILLING PERIODS, UNUSED CREDITS, EXPIRED CREDITS, CANCELLATION, ACCOUNT TERMINATION, OR DISSATISFACTION WITH THE CONTENT OF ANY REPORT, EXCEPT WHERE A REFUND IS EXPRESSLY REQUIRED BY APPLICABLE LAW OR WHERE LOGRAVEN, IN ITS SOLE DISCRETION, CORRECTS A DUPLICATE OR ERRONEOUS CHARGE CAUSED BY A PROCESSING ERROR.

You agree not to initiate a chargeback or payment dispute for any charge authorized under these Terms. LogRaven reserves the right to suspend or terminate the account of any User who initiates an unwarranted chargeback.

10. Maintenance Providers

Maintenance providers who submit entries represent that they hold the certificates they claim and that each submission accurately reflects work actually performed. Aircraft holders may accept or dispute submissions. LogRaven does not verify the quality of any maintenance work and is not responsible for any act or omission of any maintenance provider.

11. Acceptable Use

You shall not: (a) access the Services by automated means, including scraping, crawling, or bulk download, except through APIs we expressly authorize; (b) resell, redistribute, or publicly post Reports or Report contents without our written consent; (c) attempt to gain unauthorized access to any account, aircraft record, or system; (d) upload malicious code or unlawful content; (e) misrepresent your identity, ownership, or authority; (f) reverse engineer the Services or our scoring methodology; or (g) use the Services in violation of any applicable law.

12. Intellectual Property

The Services, including all software, designs, text, graphics, scoring methodology, Report formats, trademarks, and the "LogRaven" name and logo, are owned by or licensed to LogRaven and are protected by intellectual property laws. Subject to these Terms, LogRaven grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and any purchased Reports for your personal or internal business purposes.

13. Third-Party Data and Services

The Services incorporate data from the FAA and other third parties and rely on third-party providers, including payment processing, hosting, email delivery, and artificial-intelligence services. LogRaven does not warrant the accuracy, completeness, or availability of third-party data or services and is not responsible for their acts or omissions.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOGRAVEN, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR AIRCRAFT VALUE, OR FOR ANY PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH, ARISING OUT OF OR RELATING TO THE SERVICES, ANY REPORT, OR ANY AIRCRAFT TRANSACTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LOGRAVEN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LOGRAVEN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

16. Indemnification

You agree to defend, indemnify, and hold harmless LogRaven and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your User Content, your use of the Services, your purchase or sale of any aircraft, or your breach of these Terms or applicable law.

17. Termination

LogRaven may suspend or terminate your access to the Services at any time, with or without cause or notice, including for breach of these Terms. Upon termination, your right to use the Services ceases immediately and no refund shall be owed. Sections 3, 6, 9, and 12 through 20 survive termination.

18. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable, rather than in court, except that either party may bring an individual action in small claims court or seek injunctive relief for infringement of intellectual property rights. The arbitration shall take place in Oregon unless otherwise agreed.

YOU AND LOGRAVEN EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR ARBITRATION.

19. Governing Law

These Terms are governed by the laws of Oregon and applicable federal law of the United States, without regard to conflict-of-laws principles.

20. General Provisions

These Terms, together with the Privacy Policy and any terms presented at purchase, constitute the entire agreement between you and LogRaven regarding the Services. If any provision is held unenforceable, the remaining provisions remain in full force and effect. LogRaven's failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; LogRaven may assign them freely. LogRaven may revise these Terms at any time by posting an updated version; continued use after the effective date constitutes acceptance.
